Acquires Air Motion
ST. LOUIS, MO—Two major players in
UV curing systems, Air Motion Systems,
Inc. (AMS) and Baldwin Technology Com-
pany, Inc., are merging their expertise to
create a premier provider of UV and LED
curing technology around the globe.
Baldwin, a world leader in highly reac-
tive UV, UV LED and IR drying systems,
has acquired Air Motion Systems, one of
the world’s leading providers of UV LED
curing technology for the graphic arts
industry, expanding its position as the
No. 1 customer choice within the market.
The new entity of Baldwin, part of the
more than $2 billion Barry-Wehmiller
family of companies, will rebrand as AMS
SPECTRAL UV and combine AMS with
Baldwin’s UV division. AMS SPECTRAL
UV locations will continue to grow their
operations in River Falls, WI; Easton, PA;
and Slough in the U.K .
The AMS UV LED product portfolio has
become the de facto standard for LED
curing in sheetfed offset printing and flexo
packaging, with an installed base nearly
10 times that of its nearest competitor.
Complementing this technology, Baldwin’s
UV division has vast experience in highly
reactive UV curing and numerous LED
applications outside of traditional print

UV LED market worldwide is projected to
grow to more than $1 billion in the next

WestRock to Acquire Multi Packaging Solutions
NORCROSS, GA & NEW YORK, NY—WestRock Co. and Multi Packaging Solutions
International Ltd. (MPS) announced a definitive agreement has been reached for WestRock
to acquire all of the outstanding shares of MPS for $18 per share in cash and the assumption
of an estimated $873 million in net debt, for a total enterprise value of $2.28 billion.
Founded in 2005 and headquartered in New York, NY, MPS is a recognized leading global
provider of print based specialty packaging solutions. MPS’ differentiated product offering
includes premium folding cartons, inserts, labels and rigid packaging, and it serves a diverse,
blue chip customer base, primarily in the growing consumer and health care sectors.
“The acquisition of MPS is an important step forward that advances our strategy and will
create significant value for our customers, employees and shareholders,” said Steve Voorhees,
CEO of WestRock.
The transaction will be financed through a combination of cash on hand and existing credit
facilities. WestRock expects to refinance existing MPS debt assumed as part of the transac-
tion upon closing. Marc Shore, CEO and founder of MPS, and Dennis Kaltman, president,
MPS, will join WestRock as part of the transaction.
MPI Label Systems to Acquire Label Gallery, Inc.
SEBRING, OH—MPI Label Systems is pleased to announce the acquisition of Label Gallery,
Inc., a leading flexographic and digital printer in Norwich, NY specializing in the phar-
maceutical, wine/spirits and food industries. The acquisition complements MPI’s growing
national presence as a leading roll label and equipment supplier in North America.

Innovative Chemical Products Acquires MinusNine
ANDOVER, MA—Innovative Chemical Products (the ICP Group) announced the acquisi-
tion of MinusNine Technologies, a leading formulator and manufacturer of UV/EB coatings,
adhesives, primers and specialty products for graphic arts and industrial applications.
MinusNine, headquartered in Birdsboro, PA, will be integrated into ICP Industrial, Inc., one
of the three divisions of the ICP Group.
ICP Industrial currently manufactures industry leading Nicoat coatings and adhesives, and
with the successful completion of the acquisition of MinusNine, is poised to provide even
broader offerings to the packaging, labeling, graphic arts and industrial markets.
